1. Resignation of Mr. Raymond J Brown from the Board of Directors.
2. Cessation of the alternate Directorship of Mr. Frank E. Kraick consequent to the resignation of Mr. Raymond J. Brown.
3. Appointment of Mr. Jorge A. Gonzalez as a Director.
