Sing tel was offered shares of bharti telecom and bharti airtel in the ratio of appx 1:38 . Sing tel opted for Bharti telecom shares. It was also promised to Sing tel that in the event of any dividend by Air Tel , they will get dividend equal to 38.?? times of Bharti Telecom shares.( Please refer the 2006 or 2007 annual report of Bharti Telecom). Now the the question is if Bharti Telecom pays dividend to Sing Tel , then Why not to the moniority share holders also. SEBI must probe it. I have been telling the share holders about the real worth of Bharti Telecom shares for 2 years through the msgs on this platform.

As Bharti Telecom is holding 85.99 crore shares(45.30%) shares of Bharti airtel whose market rate is Rs. 409 as on 09.09.09 and one can well imagine that the value of One share of Bharti Telecom should be above Rs. 50000/- per share and in turn the company is not paying any reward to its small share holders who are still stick to it. The company has stopped to send the Annual Report to its minority share holders so that they may not be aware of the latest developments made and perhaps minority share holders may be deprived of the benefits/offers made to its share holders in the absence of no information received by them as had happened in the case of DLF minority share holders before its public issue.

Delisting and relisting is the biggest joke in stock market. When the companies prospeers, shares are delisted under substantial acquisition loophole at ridiculous prices and when they need funds they come up for relisting and make huge funds from public.

Ambanis shaped their shareholders into millionnairs. Whenever there is a merger of Rreliance entities into the group, they issued shares of Parent Company. No wonder they have prospered and found a place in fortune 500.
Companies should be forced to buy back minority share holdings at a ratio of current assets. Why minority share holders are made to suffer for chosing to remain with the company by not accepting earlier buy back offers.
I think SEBI should amend the guideline for de-listing price. Currently it is depended average CMP of couple of previous months. Promoters manupulate the price easily and cheat the minority shareholders.
