D-Link (India) Limited has informed the Exchange vide its letter dated June 13, 2009 that "The Honble High Court of Judicature of Bombay, Goa has sanctioned the Scheme of Arrangement between the Company, Smartlink Network Systems Limited and their respective shareholders and creditors ("Scheme") vide its order dated February 27, 2009. A certified copy of the said court order has been duly filed with the Registrar of Companies Goa on March 27, 2009. The Scheme provides that it shall become effective upon satisfaction of the conditions set out in Clause 36 therein, including receipt of necessary approvals from governmental authorities. The fulfillment of the conditions precedent to the Scheme have been taken on record by the Board of Directors of the Company at their meeting today and the Board of Directors have declared the Effective Date for the Scheme to be June 10, 2009.The Board of Directors of the Company at its meeting held today has also fixed the Record Date as Thursday, the 25th June 2009 for determining the equity shareholders of the Company, who would be allotted shares of Smartlink Network Systems Limited pursuant to the Scheme of Arrangement". Further, the Company has submitted to the Exchange a detailed note on the salient features of the Scheme.
